Sylvie Bourdeau

Sylvie Bourdeau is a partner at Fasken Martineau DuMoulin. She specializes in the field of corporate law, more specifically in mergers and acquisitions, private financing and business agreements, as well as in the regulation of financial institutions and participants in the health and life science sectors.

Over the course of her practice, she has developed a thorough knowledge of financings by means of venture capital institutions, a field in which she represents both institutions and businesses on a regular basis.

Over the years, she has drafted complex business agreements on behalf of her clients for such projects as joint ventures, franchises, outsourcing and the creation of limited partnerships for investment or other purposes.

Sylvie acted as counsel to a consortium of universities for the development and implementation of a corporate structure for financing the commercialization of intellectual property generated through research and development projects carried out by their students, researchers and teachers. She has been advising the consortium since its creation. She has also represented many universities in negotiating and drafting joint venture agreements with other universities or private entities contemplating research and development projects, the financing thereof and the subsequent commercialization of project results.

Sylvie also acted as counsel in many cases involving health and hospitalization insurance, health and social services and corporations acting or related to the pharmaceutical and health industries. Sylvie acted as counsel for a pharmaceutical company in the negotiation and drafting of the Radiopharmacy Alliance Agreement entered into with the Vancouver Coastal Health Authority to construct and operate a full-service radiopharmacy.

Sylvie has acquired expertise in the regulation of financial institutions and regularly advises certain institutions in matters relating to regulations applicable in Quebec. She has helped draft regulations adopted by the Autorité des Marchés Financiers (formerly the Bureau des Services Financiers) governing intermediaries involved in the distribution of financial products and services pursuant to the Act respecting the Distribution of financial products and services. She has also advised many insurers, brokers and market intermediaries regarding their compliance with this Act and its regulations as well as the legislation and regulations governing insurance companies.
