Additionally, our lawyers in Canada, London, Johannesburg and New York handle a diverse range of sophisticated transactions for Canadian clients in international markets. Because we represent capital market participants, both domestic and foreign, in all facets of Mergers and Acquisitions transactions, we have a deep understanding of the objectives of all of the "players" and what it takes to manage these large complex transactions. We are able to capitalize on this understanding to ensure that our clients receive sophisticated, innovative and, above all, value-added tactical and legal advice.
A large part of our practice consists of advising investment dealers in capital market transactions. We work closely with investment dealers in structuring offerings and developing new products such as split share vehicles and diversified investment trusts. We also act for a number of foreign investment dealers, including one of the "big four" Japanese securities firms, seeking registration as a foreign dealer to trade in securities in Canada. We advise foreign bank branches on securities issues relating to their branch applications, including assisting them in their applications to securities regulatory authorities.
On the private placement side of our practice, we represent corporate issuers, limited partnerships and investment dealers in the structuring and sale of securities to institutional and other sophisticated purchasers. We act for private venture capital funds, their promoters and their investors in establishing and investing in private funds. We have also participated in several recent Canadian provincial government bond and debenture issues which were privately placed to offshore investors.
