Fruits & Passion sells controlling equity position to S.C. Johnson & Son

On May 14, 2008, S.C. Johnson joined forces with Le Groupe Fruits & Passion Inc. ("Fruits & Passion") and became a majority shareholder. Fruits & Passion will continue to operate independently and its operations will continue as they have in the past. As well, the company will also continue to be run by its founders and its existing management team.

Fruits & Passion is a privately-held Quebec company that develops, manufactures and markets body care and lifestyle products under the Fruits & Passion brand name. Its products are sold in 14 countries. S.C. Johnson, also privately-held, is a more that $7.5 billion, global family company that sells leading household cleaning products and products for home storage, air care, personal care and insect control. Its products are sold in more than 110 countries.

Fasken Martineau represented the founders of Fruits & Passion (who remain shareholders), SGF Soquia Inc. and Société générale de financement du Québec (who sold their 30% interest in Fruits & Passion), with a team led by Patrice Vachon, and including, among others, Patricia Gagnon and Christian Jacques (securities/corporate), Elias Retsinas (real estate) and Huy Do (competition).
