Gina Croce is a senior transaction law clerk in the firm's Toronto office and has been with the firm since 1990. Gina's main duties consist of providing assistance to lawyers in share and asset purchase transactions, reorganizations, public offerings, private placements and financings.
Gina assists lawyers in the firm with due diligence matters including minute book and contract review, drafting closing agendas, remedial and authorizing resolutions and ancillary transaction documentation, attending and assisting at closings and completion of record books. Gina also has exerience with incorporations, amendments, amalgamations, continuances, arrangements and annual maintenance proceedings including extra-provincial registrations for corporations and partnerships.
Gina has conducted internal educational seminars regarding minute book reviews and drafting closing agendas.
