Jean Michel Lapierre

Jean Michel Lapierre practices business law, focusing primarily in the field of securities and mergers and acquisitions.

Mr. Lapierre has been involved in several major acquisition, sale or merger transactions of publicly-traded companies, such as the acquisition of Alexis Nihon REIT by Homburg, the acquisition of Alcan by Rio Tinto, the acquisition of Emergis by Telus, the acquisition of Addenda Capital by The Co-operators Group, the acquisition of Cossette by Mill Road Capital, the acquisition of Stanley by CGI Group, the combination of Innergex Power Income Fund with its manager, Innergex Renewable Energy, and the acquisition of Boralex Power Income Fund by its manager, Boralex. He has also been involved in a number of private M&A transactions.

Mr. Lapierre has acted on behalf of issuers and dealers in various securities offerings by Canadian issuers, whether pursuant to a prospectus or on a private placement basis. He has also advised Canadian and foreign banks on issuances of principal protected notes and other structured products.

A significant part of his practice involves advising publicly-traded companies concerning continuous disclosure obligations, corporate governance issues and general corporate matters, including the solicitation of proxies for shareholder meetings, the adoption of shareholder rights plans (poison pills), the launch of share buyback programs and the implementation of securities-based compensation arrangements, and assisting publicly-traded companies in their interactions with stock exchanges and securities regulators.
He has advised companies operating in various sectors and industries, such as information technology, telecommunications, video games, biotechnology, aerospace, energy, mining, construction, retail and financial services.

Mr. Lapierre received his LLB from Université de Montréal in 2004. He articled at the firm and was called to the Québec bar in 2005.
