RNC Gold merges with Tango Mineral Resources in reverse takeover

In December 2003, RNC Gold Inc. ("RNC") completed a merger with Tango Mineral Resources Inc. ("Tango") by way of a securities exchange agreement. Upon completion of the transaction, the common shares and warrants of RNC commenced trading on the Toronto Stock Exchange on December 10, 2003 with a market capitalization of approximately $70 million. RNC is a Canadian gold mining, exploration and development company focused in the Caribbean basin with two operating gold mines in Nicaragua, an option on a gold mine in Honduras, an advanced stage project in Panama and a substantial exploration programme in Nicaragua and Mexico.

RNC was represented by Fasken Martineau including a team of Chuck Higgins, Gregory Ho Yuen, Janice Javier and Sean Morley (corporate/securities), Alan Schwartz (tax) and John Torrey (banking).
