In August 2007, Sandford Plc acquired the entire issued share capital of Wilton International Consulting Limited and was re-admitted to the AIM Market of the London Stock Exchange as TSE Group Plc. The admission was sought as a result of the acquisition of Wilton being a reverse take-over pursuant to AIM Rule 14. The market capitalisation on admission was approximately £5 million.
Wilton was established in 2005 and in September 2005, acquired the entire issued share capital of TSE Consulting based in Switzerland, TSE Consulting provides strategic advice to international sports organisations, the public sector and private companies including advice to cities and governments on bidding and hosting major sports events such as the Olympic Games and has worked with a significant number of international sports organisations, cities and governments including the International Olympic Committee (IOC), the Union of European Football Associations (UEFA) and the International Association of Athletics Federations (IAAF).
Chris Chrysanthou, with the assistance of Peter Rhodes, Daniel Joll and Anca Enica of Fasken Martineau Stringer Saul advised TSE Group plc on the acquisition of Wilton and the re-admission of the enlarged group to AIM.
