Tracy Hooey is a partner in the Securities and Mergers & Acquisitions practice group. She has a broad practice advising public and private companies on mergers and acquisitions, asset and share purchase transactions, financings (including venture capital financings), corporate reorganizations, take-over bids and reverse take-over transactions along with corporate and securities law compliance matters. Tracy regularly advises clients regarding corporate governance matters including board practices and committee requirements and private company shareholder arrangements.

In addition, Tracy works extensively with participants in the investment product and wealth management industries. Her fund formation work includes the structuring of investment products (including closed-end funds, mutual funds, private equity funds and pooled funds) and structured limited partnership vehicles created for special purpose acquisitions or alternative asset classes. As a result of her expertise in securities regulatory matters, Tracy is regularly engaged on transaction work in the investment product and wealth management industries, fund governance and registrant compliance matters. This extends to advising new entrants in the fintech space on securities regulatory issues and compliance requirements.

Tracy is an active leader of the firm’s life sciences industry group with significant experience advising clients of varying stages of development in the industry.
