Before the private equity investment, the company needs to prepare to prove itself. Points to consider include:

  • Capital structure - avoid excessively complex capital structures
  • Stakeholder assessment - investors want to see interests of key management members aligned with shareholders - skin in the game
  • Shareholders - the importance of a unanimous shareholders' agreement
    Housekeeping - minute book, corporate records, IP protection, financial records, financial statements (audit) and insurance coverage
  • Audit your contracts and then create, amend or terminate them as needed
    Governance - board of directors, board committees, management contracts, management succession and ownership succession
  • Research your market share/market value - competitive advantage, customer base
    Prepare your business plan and value proposition
  • Look for compatibility in a financial partner - "fit" is everything
