Sam is a senior partner in the Litigation Section in Toronto and practises a wide variety of Corporate/Commercial Civil Litigation including Administrative law and has appeared at all levels of court, including the Supreme Court of Canada.
Sam appeared successfully before the Supreme Court of Canada recently for his client H&R Block in respect of a matter relating to the statutory provisions regulating the sale of the assets of a business and the law of equitable accounting.
Sam was a Law Clerk to the Chief Justice of the High Court of Justice between 1975 and 1976 and joined the firm as an associate in 1976 and became a partner in 1980.
Sam has acted in a significant matter relating to liability arising out of alleged compliance deficiencies in the life insurance sector relating to segregated funds and has acted for a number of participants in the capital markets. He recently acted for a major insurance company in an extensive corporate governance review. He has been a regular contributor to the CLHIA conferences and recently has delivered significant papers entitled "Liability of Directors and Officers including the Chief Compliance Officer - Corporate Governance Issues" and "Litigation regarding Segregated Funds and Mutual Funds Sales and Advice Giving" at their compliance section annual conferences.
Sam has acted in a number of corporate litigation matters including shareholder disputes involving claims for oppression, dissent and fair value claims and has written a leading article on Fair Value. Sam is currently acting for Hollinger Inc. in respect of a claim brought against its former board of directors. In addition, Sam has acted in a number of securities-related litigation cases including appearances before the Ontario Securities Commission in contested takeover proceedings involving a "poison pill". He has acted for a number of participants in the capital markets in litigious matters including brokerage firms and funds managers and insurance companies in relation to the sale of securities. In addition, Sam has acted in a number of litigious matters involving corporate reorganizations including plans of arrangement. He delivered a paper at the Law Society of Upper Canada entitled "Plans of Arrangement – New Corporate Takeover Battlefield".
Sam has extensive experience in litigation relating to computer-related claims including lawsuits dealing with third party maintenance of computers, substantial claims for damages with respect to software licensing, development agreements and disputes arising out of contracts for the purchase of software and hardware.
Sam has acted in respect of a number of franchise disputes and has experience in the area of Alternative Dispute Resolutions ("A.D.R.") in the franchise area where he has acted for a major national franchisor.
Sam acts for a number of professionals in the defence of professional negligence claims.
Sam has acted in a number of cross border litigation disputes and the enforcement of foreign judgments where he was involved in a leading case in the Ontario Court of Appeal.
