Can an attorney or representative act in the director’s place when a director becomes incapable? What are the corporation’s obligations and authority to provide information to parties in a family or estate legal proceeding? How do you investigate and confirm the identity and authority of the personal representative of a shareholder’s estate on death before transmitting the deceased’s shares?

This panel will discuss the difficult issues that may arise on the divorce, disability (incapability) or death of a director or shareholder. The aim of this panel is to provide attendees with practical tips on how to tackle a variety of issues as they arise and enable attendees to identify “red flags” such that they can seek additional advice when appropriate.
