Canada's new legislation governing federally incorporated non-share capital corporations was proclaimed in force late last year. It introduces a host of advantages as well as enhanced members' rights and imposes a number of new rules on federal not-for-profit corporations. This seminar will focus on the practical steps that such corporations need to take now to ensure that they comply with the new Act within the required three-year time period, including approving new articles and by-laws that meet their needs and those of their stakeholders. Among the issues to be discussed are the following:

  • Overview of the new Act and the formal steps that need to be taken to continue under the Act
  • Recommendations on developing and implementing your plan to continue your corporation under the new Act and to obtain the requisite member approval
  • Special considerations for not-for-profit corporations that are also charities
  • Key differences between the federal Act and the not yet proclaimed in force new Ontario Not-for-Profit Corporations Act, 2010 to assist those corporations who may be considering migrating from the federal to the provincial regime, now a possibility under the new regulatory regime
