Golden Star Resources completes US$88 million bought deal financing

On December 30, 2005, Golden Star Resources Ltd. completed a bought deal financing pursuant to which approximately 31.6 million Golden Star common shares were sold at a price of $2.80 per share, raising gross proceeds of approximately $88 million. The common shares were offered in Canada and the United States by an underwriting syndicate led by BMO Nesbitt Burns Inc. and Blackmont Capital Inc., and included Wellington West Capital Markets Inc., and their respective U.S. affiliates. Fasken Martineau acted as Canadian counsel to Golden Star in respect of this financing with a team comprised of John Turner, Richard Steinberg, Tracy Hooey, John Sabetti, Krisztian Toth, Dan Rankin, Christopher Sullivan and Karoline Kralka (securities/corporate), Mitchell Thaw (tax).
