Diploma acquires 75% of AMT Vantage Holdings for up to US$30 million

On August 28, 2007, Diploma PLC, the international specialised distribution group listed on the LSE, announced the acquisition of 75% of Kitchener, Ontario-based AMT Vantage Holdings Inc., a leading distributor of speciality electrosurgery and endoscopy equipment and related consumables to hospitals across Canada.

The initial cash consideration to be paid for 75% of the business, which will be met from Diploma's existing cash resources, is $27.5 million with a further deferred consideration up to a maximum of $2.5 million depending on the operating profit of AMT in the year ending September 30, 2008.

Diploma was advised in this transaction by a team from Fasken Martineau including Lisa Marcuzzi, Kevin Clinton, Stacey Stoneham (corporate) and Ralph Nero (employment).
