TD Bank completes $250 million preferred share issue, Series Y

On July 16, 2008, The Toronto-Dominion Bank ("TD") issued 10 million non-cumulative 5-Year Rate Reset Class A Preferred Shares, Series Y (the "Series Y Shares") at a price of $25.00 per share, to raise gross proceeds of $250 million. The issue qualifies as Tier 1 capital for TD. TD filed a prospectus supplement to its base shelf prospectus in respect of this issue. The underwriters, led by TD Securities Inc., were advised in this transaction by a team from Fasken Martineau that included Richard Steinberg and Tina Chun (corporate/securities) and Mitchell Thaw (tax).
