Stella Jones International completes US$84 million secondary offering of Stella-Jones shares

On February 6, 2012, Stella Jones International S.A. completed a "bought deal" secondary offering of 2,000,000 common shares of Stella-Jones Inc. at a price of $42.00 per share for an aggregate selling price of 84 M$. The syndicate of underwriters was led by RBC Dominion Securities Inc. and included Acumen Capital Finance Partners Limited, BMO Nesbitt Burns Inc., Desjardins Securities Inc. and Laurentian Bank Securities Inc. In connection with the secondary offering, a short form prospectus was filed by Stella-Jones Inc. in all provinces of Canada. After giving effect to the secondary offering, Stella Jones International S.A. continues to hold 6,187,909 issued and outstanding common shares, which represent 38.8% of all the issued and outstanding common shares. Stella-Jones Inc. was represented in-house by Marla Eichenbaum, Vice-President, General Counsel and Secretary. Stella-Jones Inc. and Stella Jones International S.A. were assisted by Fasken Martineau with a team that included Peter Villani, Jean Michel Lapierre and Jimmy Triassi (corporate/securities) and Gilles Carli (tax).
