Advised Helios Investment Partners on its $1.5 billion joint venture with BTG Pactual

Fasken Martineau advised Helios, an Africa-focused private investment firm, on its joint venture with BTG in relation to the $1.5 billion joint venture between BTG and PIBBV. The joint venture was formed through the acquisition by BTG of 50% of the shares issued by Petrobras Oil & Gas B.V. (“POGBV”), currently wholly owned by PIBBV. Once restructuring within the Petrobras’ group has taken place, the joint venture will encompass Petrobras’ subsidiaries and portfolio of production and exploration assets in Angola, Benin, Gabon, Namibia, Nigeria and Tanzania. As previously announced by Petrobras and BTG Pactual, the transaction values the joint venture at US$3.05 billion. The team was led by partner Abayomi Akinjide, assisted Laura Bradley. Law firm Loyens & Loeff provided Dutch law advice. This transaction was awarded the Large Cap Deal of the Year (2014) by Private Equity Africa.
