Stimela Mokoena is a corporate & commercial lawyer with expertise advising domestic and international clients on mergers and acquisitions, corporate governance, Black Economic Empowerment transactions, takeovers, corporate re-organisations, restructurings and joint ventures.

He has worked on transactions involving equity capital raisings on the Johannesburg Stock Exchange (JSE) and on sophisticated cross border acquisitions and disposals.
His expertise includes transaction structuring and implementation, including compliance with applicable securities laws and the regulatory aspects of transaction implementation.

Stimela assists international businesses to establish companies in South Africa. This involves conducting due-diligence investigations, and negotiating and drafting commercial contracts including memorandums of incorporations, shareholders’ agreements, service level agreements, supply agreements, sale of property agreements, sale of business and sale of share agreements and company law.

He regularly advises and presents on provisions of the Companies Act, 2008, and has a deep understanding of regulatory compliance, as well as advising energy companies on inter alia, bid compliance under the South African Renewable Energy Independent Power Producers Procurement Programme. Stimela typically advises clients in the mining, construction/engineering, pharmaceutical and energy sectors.
