Valerie Eisen, MBA is a business lawyer involved in a wide range of corporate and commercial matters. She has extensive experience with domestic and cross-border mergers and acquisitions, private placements, equity financings, and corporate reorganizations. Valerie advises on business structures, commercial agreements, economic sanction and CASL compliance along with other day-to-day matters. Valerie works with clients of all sizes, from startups to fortune 500 companies, in a variety of industries and sectors including information technology, biotechnology, healthcare, media, financial services, insurance, automotive and retail. She also works with private equity and venture capital firms that are active in those industries and sectors. Valerie is further engaged in a diverse franchise law practice, supporting franchisors in the food services, construction and insurance industries, among others. Valerie has experience drafting and reviewing disclosure documents and franchise agreements both for franchisors and in a transactional context.
Valerie has a background in chemistry and works frequently with our firm’s information technology, intellectual property, and emerging technology groups on technical and commercial matters involving chemical, biological, physical and information technologies including those related to blockchain and cryptocurrencies. She has successfully negotiated numerous joint venture agreements, shareholders’ agreements, partnership agreements, master service agreements, license agreements, technology transfer and royalty sharing agreements, professional service agreements, procurement agreements, non-disclosure agreements and broker agreements for the firm’s clients.
Valerie also has a firsthand understanding of the inner workings of corporate legal departments. After summering for the firm, Valerie was seconded to the information management and technology division of legal services at the Hospital for Sick Children in Toronto. As an associate, Valerie was seconded to Arthur J. Gallagher Canada Limited, a subsidiary of Arthur J. Gallagher & Co. (NYSE: AJG), an international brokerage offering insurance, risk management, and benefits consulting services.
Valerie graduated from the joint JD-MBA program at Queen’s University with a specialization in entrepreneurship and innovation. She received the Noranda Sales Corporation / William G. Deeks award for highest standing in elective business strategy courses. Valerie was also President of Queen’s MBA Toastmasters Club and was a member of the Women in Leadership Club. Valerie leverages her background in strategy and innovation to provide clients with exceptional insight into their circumstances and potential.
