On March 25, 2022, Bitzero Blockchain Inc. (the "Company"), a cryptocurrency mining and digital asset management, completed a private placement (the "Offering") of common shares of the Company (the "Common Shares"), pursuant to which the Company issued 114,671,313 Common Shares at a price of US$0.40 per share for total gross proceeds for the Company of US$45,878,525. The Offering was comprised of a brokered and a non-brokered portion. Cantor Fitzgerald Canada Corporation ("Cantor"), Canaccord Genuity Corp. and PI Financial Corp. acted as co-lead agents in connection with the brokered portion of the Offering.
