Nancy Eastman is a Partner in Fasken's Toronto office with a practice focused on securities, public mergers and acquisitions and global mining transactions. Working predominantly in the mining industry, Nancy advises a range of clients from junior mining companies to the majors, as well as strategic and private equity investors.
Nancy has extensive experience structuring and negotiating option agreements, strategic alliances, earn-in and joint venture arrangements, and royalty and stream financings. She also advises royalty companies in connection with the purchase and sale of significant royalty portfolios and analyzes documentation with respect to royalties with a complex historical structure. She regularly advises on National Instrument 43-101 disclosure standards and collaborates with U.S. counsel including on cross-border IPOs and S-K 1300 disclosure. She has advised on mineral projects in jurisdictions including Argentina, Australia, Brazil, Chile, Colombia, Côte d’Ivoire, Kenya, Mexico, Nicaragua, Peru, Serbia, Spain, Sweden, and Uruguay.
Nancy also advises on a broad range of capital markets transactions, including initial public offerings, plans of arrangement, control block sales, private placements, reverse takeovers, and hostile bid responses. She advises TSX and TSX Venture Exchange-listed companies with related party transactions, continuous disclosure obligations, and exchange policy compliance.
Recognized as a leading practitioner in mining, Nancy is ranked by the Canadian Legal Lexpert Directory, The Best Lawyers in Canada, and Lexology Index. She was named “Lawyer of the Year” for Natural Resources Law in Toronto (2026) by The Best Lawyers in Canada. Nancy taught the Royalty Agreements and Streaming Transactions session for the Osgoode Certificate in Mining Law Course in 2019 and 2022.
