Émilie Clairoux is an associate in Fasken's Business Law group, where she advises entrepreneurs, startups, and technology companies, as well as venture capital and private equity funds and institutional investors, particularly in mergers and acquisitions, growth financing and strategic transactions.
Both entrepreneurs and investors seek her assistance at every stage of their organization's lifecycle, whether in establishing corporate structures, negotiatingletters of intent, investment terms and investment agreements, or closing transactions. She collaborates with founders, management teams, investors, in-house legal counsel and fund partners.
Her work spans the life sciences, technology, clean technology, health and defence sectors. Startups and growth-stage companies, as well as established corporations, SMEs, and non-profit organizations, all seek her advice.
In addition to her transactional practice, Émilie also advises organizations on governance, business ethics, ESG and BHR. She assists clients in developing and reviewing internal policies, implementing compliance mechanisms, and managing legal and reputational risks. Her work includes advising organizations on navigating compliance issues related to supply chains, particularly the reporting obligations under the Fighting Forced Labour and Child Labour in Supply Chains Act (formerly Bill S-211), as well as transparency requirements for ultimate beneficial owners and individuals with significant control.
Since 2015, Émilie has been involved with Montréal organizations providing support to women and children affected by domestic violence. She is a member of the board of directors of L'Autre Escale and serves as Chair. She also sits on Réseau Capital’s Nouvelle Génération Committee, whose mission is to develop the next generation of professionals. Prior to Fasken, she practised at an international law firm.
