Update on the Companies Amendment Bills In-Person Seminar: Company Law and Corporate Restructuring

Fasken’s Corporate & Commercial, and Corporate Restructuring and Insolvency Practice Groups invite you to an in-person breakfast seminar at Fasken’s Sandton offices. This in-person seminar will focus on the Companies Amendment Bills and their impact on business and the area of business rescue.

This seminar will cover provisions in the Bills that will impact

(i) a variety of corporate transactions (financial assistance, takeover provisions, validation of the irregular creation of shares) and

(ii) the day-to-day activities of a company (social and ethics committee and remuneration policies) and

(iii) the chapter 6 corporate restructuring regime.

The speakers will cover the following topics during the seminar sessions:

• 08h15 – 08h35 Session 1:

Companies Amendment Bills: amendments affecting M&A and other transactions, including-

• share buy-backs;
• irregular creation, allotment or issuing of shares;
• financial assistance;
• takeover regulations; and
• retaining shares in trust in terms of section 40(5).

• 08h35 – 09h00 Session 2:

Companies Amendment Bills: amendments affecting the day-to-day management of a company and directors liability, including-

• filing amended memoranda of incorporation;
• remuneration policies;
• social and ethics committee; and
• periods for declaring a director delinquent or under probation; and
• prescription period for claims against directors.
