Our team of Alain Riendeau, Vincent Cérat Lagana and Brandon Farber successfully represented Transat, a well-known Canadian airline and tourism public company, in the context of an urgent and heavily disputed battle for the sale of the company.
We were successful in urgently obtaining the dismissal of a partial bid made by Groupe Mach Inc. in order to thwart the sale of the company to Air Canada. The Québec Securities Commission issued rare orders to stop what it deemed to be an offer which was contrary to public interest and abusive to markets and shareholders.
We also represented Transat in a court-approved plan of arrangement to carry out the sale to Air Canada.
The Transat case was the leading case in Public M&A litigation for Québec in 2019 and one of the leading commercial litigation cases. It is a rare occurrence of a public bid being cease-traded.
