Fasken acted as counsel to the shareholders of Terminal & Cable TC Inc. (“TC”) and Prodamex S.A. de C.V. (“Prodamex”) in the sale of all of their issued and outstanding shares to subsidiaries of Volex PLC (AIM:VLX) (“Volex”), a global supplier of integrated manufacturing services and power products.
Founded in 1968, TC is a Canada based manufacturer of wire harness solutions that principally supplies major defence customers, with other customers in off-highway automotive sectors. Its 40,000 square foot manufacturing site is accredited to stringent international quality standards. TC’s affiliated company Prodamex founded in 2007 is a Mexico based manufacturer of wire harness solutions that supports major global domestic customers from its 60,000 square foot manufacturing site. The acquisitions further strengthen Volex’s profile across North America, adding advanced wire harness manufacturing services, and expanding its presence into the defence market.
The Fasken team that represented TC’s and Prodamex’s shareholders in this transaction was led by Guy Rouleau and Jean-François Noël, and included Vincent Chaurette, Catherine Decoste-Mahseredjian and Laura Fabi (M&A).
