On April 20, 2022, 1325996 B.C. Ltd. (“AcquireCo”), an entity controlled by Frank Miles, President, Chief Executive Officer and director of Macro Enterprises Inc. ("Macro") and jointly owned by Frank Miles and Jeff Redmond, Chief Financial Officer of Macro, completed an arrangement involving Macro, pursuant to a plan of arrangement under the Business Corporations Act (British Columbia) (as amended, the “Arrangement”) that was valued at approximately C$123 million.
As part of the Arrangement, AcquireCo and Macro amalgamated and continued to carry on business under the name “Macro Enterprises Inc.” (the "Resulting Issuer").
Following completion of the Arrangement, the common shares in the capital of Macro were delisted from the TSX Venture Exchange and the Resulting Issuer ceased to be a reporting issuer under applicable Canadian securities laws.
