Concurrent sale of each of Yvon Building Supply Inc., Yvon Insulation Corporation, Yvon Insulation Windsor, Laminated Glass Technologies, Inc., and Right Fit Foam Insulation Ltd for C$196 M to GMS Inc., a notable North American specialty building products distributor listed on the New York Stock Exchange.

Gypsum Management & Supply (GMS), a corporation listed on the New York Stock Exchange, acquired all issued and outstanding shares of each of Yvon Building Supply (YBS), Yvon Insulation Corporation, Yvon Insulation Windsor, Laminated Glass Technologies Inc. and Right-Fit Foam Insulation Ltd, leading providers of drywall, insulation, steel ceiling and other complimentary products and services in the greater Toronto and Ontario region, for an aggregate purchase price of C$196 M.

In connection with the transaction’s close, the Fasken team coordinated the efficiently and simultaneous execution of five separate purchase and sale agreements with distinct shareholder sellers and commercial interests. Fasken additionally provided including strategic tax advice and implementation of a pre-closing reorganization.
