On April 15, 2026, Predictive Discovery Limited, an ASX-listed Australian gold exploration company, completed its merger with Robex Resources Inc. by way of a statutory plan of arrangement under the Business Corporations Act (Québec). Valued at approximately C$2.14 billion, the transaction created a significant gold mining platform with an implied market capitalization of approximately A$2.35 billion on a fully diluted in-the-money basis.
The transaction involved a complex cross-border combination of Canadian and Australian public companies in the mining sector. Under the arrangement, Robex shareholders received 7.862 ordinary shares of Predictive for each Robex common share, resulting in existing Predictive shareholders and former Robex shareholders holding approximately 51% and 49% of the combined company, respectively, at closing. The merger also facilitated Predictive’s listing on the Toronto Stock Exchange and its status as a reporting issuer across Canada, while Robex was simultaneously delisted from the TSX. The transaction strengthened Predictive’s position as an international gold mining company and expanded its access to North American capital markets.
Fasken advised Predictive Discovery Limited with a team led by John Sabetti and Zach Austin, and included Richard Steinberg, George Soules, Brittany Vanword, Neil Kravitz, Brandon Farber, Remi Slama, Huy Do, Christopher Steeves, Anthony Foreshew and Tom Chong.
