On March 2nd, 2026, GDI Integrated Facility Services Inc. (“GDI”) was acquired by an entity affiliated with Birch Hill Equity Partners Management Inc. (“Birch Hill”) and Gestion Claude Bigras Inc. (“GCB”) by way of a plan of arrangement under the provisions of the Canada Business Corporations Act.
Under the terms of the arrangement, all of the issued and outstanding subordinate voting shares of GDI (other than those beneficially owned by Birch Hill) were acquired for $36.60 in cash per subordinate voting share, representing a total enterprise value of approximately $861 million.
As part of the transaction, affiliates of Birch Hill and GCB, an entity controlled by Claude Bigras, President and Chief Executive Officer of GDI, rolled over all of the subordinate voting shares and multiple voting shares they held in GDI.
The arrangement was initially announced on December 23, 2025 and was subject to certain closing conditions, including regulatory approvals and clearances in Canada and the United Shares as well as approvals by GDI’s shareholders and the court.
