Overview

Myroslav assists investments dealers and issuers of all sizes and stages of growth to structure, complete and minimize risk with respect to a broad range of corporate finance and mergers and acquisitions transactions, as well as in governance, disclosure and compliance matters.

Myroslav Chwaluk is a corporate finance and M&A lawyer focused on providing pragmatic and strategic advice to clients in a broad range of transactions across various industries. Representative experience includes public and exempt capital raising through offerings of equity or debt securities, acquisitions through plans of arrangement and take-over bids for both targets and acquirors, initial and continued listing and exchange matters, streaming and royalty transactions, joint venture agreements, asset and property acquisitions and dispositions, and exemptive relief applications. He has experience with and provides the same approach to both straightforward and  complex and novel matters, understanding the importance of each matter to all clients, no matter how large or small. Myroslav has particular and demonstrated experience in the natural resource sector, particularly with respect to public disclosure and NI 43-101 matters, including having co-authored an article that appeared in the Proceedings of the Rocky Mountain Mineral Law Institute entitled “Mineral Resource and Mineral Reserve Reporting Standards and Liability for Disclosure in Leading Capital Markets.” Having served a secondment with the Enforcement Branch of the Ontario Securities Commission, Myroslav also has insight into and experience with enforcement of securities regulation.
