Nompumelelo Dhlamini is an Associate in Fasken’s Johannesburg office, with experience across mergers and acquisitions, construction law, project finance, corporate commercial transactions, employment law and dispute resolution. She supports legal teams and clients on complex commercial and infrastructure matters, with a particular focus on the drafting, review and alignment of legal documentation for renewable energy and project finance transactions.
Her recent work includes supporting high-value renewable energy and infrastructure workstreams involving EPC contracts, operations and maintenance agreements, management services agreements, service and availability agreements, bankability reviews, due diligence reports, direct agreement considerations and project document alignment. She has assisted on matters involving solar PV and wind energy projects across Southern Africa, including South African, Zimbabwean and Zambian project structures.
Nompumelelo’s commercial experience includes drafting and reviewing transaction documents, corporate governance documents, sale of shares agreements, sale of business agreements, sale of rental enterprise agreements, memoranda of incorporation, board and shareholder resolutions, due diligence materials and client-facing legal summaries. She is comfortable working with detailed transaction documents, identifying internal inconsistencies, aligning definitions and cross-references, and translating legal and commercial issues into clear, practical advice.
In the construction and project finance space, Nompumelelo has developed experience with the review and adaptation of project documentation, including EPC, O&M, MSA and related service agreements. Her work includes aligning project descriptions, definitions, technical schedules, contractor obligations, interface positions, bankability requirements and finance document considerations across related project documents.
Nompumelelo also has experience in employment and labour law, including employment-related agreements, workplace policies, disciplinary processes, CCMA proceedings and bargaining council matters. This broader grounding gives her a practical understanding of how commercial, governance, regulatory and employment risks intersect in business operations.
Nompumelelo is regarded as a technically strong and commercially minded junior lawyer who brings careful drafting, structured analysis and practical follow-through to complex workstreams. She has a strong academic foundation from the University of Pretoria, where she completed a BA (Law) with distinction and an LLB, and she continues to build her practice at the intersection of M&A, construction law, project finance and renewable energy.
