Onyi Ubah is a corporate and securities lawyer in Fasken’s Toronto office. Her practice focuses on investment funds, capital markets and corporate governance. She advises investment fund managers and public companies on the development of investment products, securities financings, governance matters and ongoing regulatory obligations.
Onyi regularly advises on the development, launch and restructuring of public and private investment funds, including mutual funds, exchange-traded funds and alternative mutual funds. She has been involved in bringing a range of investment products to market, including novel and uniquely structured funds, transitioning privately offered funds to the public markets and adding exchange-traded classes to existing fund platforms.
Onyi advises investment fund managers throughout the lifecycle of their funds, from initial structuring and launch through ongoing disclosure, governance and regulatory compliance. Her experience includes preparing prospectuses, offering memoranda and continuous disclosure documents, advising on fund reorganizations and operational changes, and preparing applications for exemptive relief. She also has experience with securities registration and registrant compliance matters.
