Rachel Phillips is a Partner in the Capital Markets and Mergers and Acquisitions Group in Fasken’s Toronto office. She is engaged in a broad corporate practice for both private and public companies. Rachel acts for clients on a wide variety of transactions including cross border M&A transactions, strategic investments, business combinations, privatizations and corporate reorganizations.
In 2025, Rachel was seconded to the Ontario Securities Commission’s Mergers and Acquisitions group where she participated in the oversight of public M&A transactions, engaging extensively with MI 61-101.
In 2023, Rachel was seconded to the Hillcore Group as Senior Legal Counsel. In this capacity, she provided legal advice on a variety of matters, including acquisitions, and also drafted and negotiated commercial agreements.
Prior to joining the firm, Rachel practiced corporate law in the New York office of a leading Canadian law firm. Rachel is a graduate of the University of Toronto Faculty of Law and holds an Honours Bachelor of Science in Integrated Science from McMaster University.
