Rainmaker Income Fund acquires balance of Mainframe Entertainment

On October 31, 2006, Rainmaker Income Fund announced that, through its subsidiary RNK Capital Limited Partnership, it had completed the acquisition of the balance of the outstanding common shares of Mainframe Entertainment, Inc. The acquisition was completed through a plan of arrangement whereby Mainframe and a special purpose subsidiary of RNK Capital LP were amalgamated to form a new entity called Rainmaker Entertainment Inc. This transaction follows an earlier deal which closed on July 31, 2006 in which Rainmaker purchased the initial 62% of outstanding shares of Mainframe from IDT Ent. Inc. and its affiliates. Rainmaker is an unincorporated open-ended limited purpose trust located in Vancouver, British Columbia. Rainmaker was advised in this transaction by a team from Fasken Martineau comprised of Iain Mant, Georald Ingborg, Andrew Jackson, Andrey Schmidt and Sarah Mamoser.
