TransForce completes acquisition of Vitran

On March 26, 2014, TransForce Inc. completed the acquisition of Vitran Corporation Inc. by way of plan of arrangement. Under the plan arrangement, TransForce, through an indirect wholly-owned subsidiary, acquired all of the issued and outstanding common shares of Vitran, other than common shares of Vitran held by TransForce and its affiliates, for consideration of approximately US$86 million. TransForce, based in Montreal, is a North American leader in the transportation and logistics industry. Its shares are listed on the Toronto Stock Exchange and the OTCQX marketplace in the United States. Vitran, based in Toronto, is a premier Canadian less-than-truckload transportation firm. Its shares were previously listed on the Toronto Stock Exchange and Nasdaq. Fasken Martineau acted as legal counsel to TransForce with a team that included Neil Wiener and Jimmy Triassi (M&A / Securities) in Montreal and Brad Moore (litigation) in Toronto.
