On 29 May 2025, the European Bank for Reconstruction and Development (“EBRD”) announced the completion of an equity investment in Euro Manganese Inc. (“EMG”), a Canadian battery materials company listed on the TSX-V and ASX, owning the Chvaletice Manganese Project in Czechia.
As a result of the C$3.85 million investment and taking into account EBRD’s prior shareholding in EMG, EBRD became the largest shareholder in EMG, with a 17.48% equity stake (excluding the warrants also issued to EBRD as part of the transaction). The EBRD investment formed a part of a wider C$11.2 million equity raise by EMG.
Fasken’s role on the transaction involved advising EBRD on the structure of the investment and negotiating and settling the documentation in respect thereof.
Fasken advised EBRD with a team led by Jodi Katz (Corporate/Commercial) and included Stephen Vincelli (Corporate/Commercial), Lucinda Patrick-Patel (Corporate/Commercial) and Emily Smith (Paralegal) (Corporate/Commercial).
