On July 28, 2026, Lomiko Metals Inc. announced that it had entered into a definitive arrangement agreement under which Global Battery Materials Corp. will acquire all of the issued and outstanding common shares of the company by way of a court-approved plan of arrangement under the Business Corporations Act (British Columbia). The transaction implies an equity value of approximately C$11 million.
The transaction supports the creation of a Canadian-based, vertically integrated graphite platform by combining Lomiko's portfolio of graphite assets, including the La Loutre Graphite Project in Québec, with Global Battery Materials' battery materials processing platform. Concurrently, the parties entered into a senior secured bridge loan facility to provide Lomiko with working capital pending the closing of the transaction.
A Fasken team composed of Frank Mariage, Sébastien Bellefleur, Julien Fournier, Martin Ferreira Pinho, Siobhan Kaylea Mullan, Christopher Sayoto-Poulin (student) (corporate/securities), Svetlana Samochkine, Eloise Laflamme (banking & finance) and Mark Pontin (litigation) advised Lomiko Metals Inc. in connection with the transaction.
