Fan Zhong Kong (Kong), Majestic Gold Corp.’s largest shareholder, has obtained an urgent interlocutory injunction before Justice Loo in Kong v. Majestic Gold Corp., 2026 BCSC 1280, concerning a private placement by a publicly-traded mining company ahead of its AGM, where the petitioner sought to appoint new directors.
The court agreed to enjoin the closing of the placement until after the record date set for determining voting eligibility. The decision affirmed our client's position, previously untested in British Columbia, that altering relative shareholdings for voting purposes may constitute irreparable harm.
