Jean-Philippe Joyal is an associate of the Corporate/Commercial group. His practice focuses on investment funds and asset management. He advises asset and investment managers on the creation of new investment funds and alternative investment products.
Jean-Philippe works extensively with fund managers in setting up and structuring open-ended and closed-ended investment funds. He regularly advise fund managers in their fundraising and compliance efforts from a Canadian perspective, conduct due diligence for pension funds and family offices prior to their subscription to investment funds and negotiate side letters on their behalf with fund managers. He negotiated multiple side letters with investors and fund managers from Canada, the United States and Europe.He also regularly assists public and private issuers in their fundraising efforts as well as on regulatory compliance and ongoing operational matters, including the preparation of prospectus and continuous disclosure documents.
Throughout his career, Jean-Philippe has developed a great understanding of derivatives and market structure. He has worked on carbon-related derivatives, fixed-income derivatives and equity derivatives, advising dealers and self-regulatory organizations on regulatory matters and the implementation of trading best practices.
Prior to joining Fasken, Jean-Philippe practised with a regional law firm.
